Go-Dark Clause (Dark Store)

A lease provision allowing the tenant to stop operating in the property while still paying rent.

A go-dark right lets a tenant close its store but keep paying rent under the lease. A dark store is a property where this has happened. The landlord keeps receiving income, but the building may deteriorate, neighboring tenants may lose traffic, and renewal becomes unlikely. Many leases pair go-dark rights with landlord recapture rights. Investors underwrite dark risk by looking at store performance, rent relative to market, and the property's re-leasing prospects.
